A year later, you should be able to answer why.

Most boards can tell you what they decided. Fewer can produce the packet the decision was made on, who voted which way, and what the vote actually authorized. Those are the same question when an owner is unhappy, and they are certainly the same question when a lawyer asks.

What the record has to survive

An owner asking a fair question, and a lawyer asking an unfair one.

The packet is part of the record

Whatever the board read before voting stays attached to the motion it voted on. Not a folder somebody kept, and not an attachment on an email thread that three directors were left off.

Votes are counted, not remembered

Each director is recorded as for, against, abstaining or absent, with the timestamp. Abstentions and conflicts are recorded rather than smoothed over, because those are the ones that get asked about.

A decision that assigns work says who

Motions that create an obligation produce an assignment with an owner and a date, and it stays open where the board can see it until it closes.

Minutes stop being a bottleneck

The record assembles as the meeting runs, so approving minutes is a review rather than an act of reconstruction six weeks later.
